ORIGINATION & EXECUTION · INDEPENDENT CORPORATE ADVISORY

Independent corporate finance advice for the moments that decide a business's future.

Celero Capital advises family companies, company boards and private equity investors on mergers and acquisitions, capital raising and succession, backed by three decades of origination and execution at the pointy end of Australian corporate finance.

"Origination is the scarce skill. Execution can be resourced; a proprietary opportunity cannot."

Celero Capital is built differently to a traditional advisory firm. Engagements are led directly by the principal, not handed down through layers of junior staff, and drawn on a working network of legal counsel, tax and structuring advisers, industry specialists and capital markets contacts assembled around what each transaction actually needs.

For private equity and family office clients in particular, that network functions as a sourcing engine as much as an execution team, built on three decades of relationships through multiple economic cycles and complex, cross-border transactions.

WHAT WE DO

Independent corporate advisory for the middle market: private companies, family offices, private equity and ASX-listed boards

Celero Capital takes on selected mandates where it can add genuine value, typically on transactions between $20 million and $250 million in enterprise value.

01

Mergers & Acquisitions

Origination-led. Deal sourcing, valuation, negotiation and execution on buy side and sell side mandates, with a particular focus on proprietary, off-market opportunities for private equity and family office clients.

02

Capital Raising

Equity and debt, from pre-IPO through growth capital, for founders and boards preparing for their next stage.

03

Succession & Exit Planning

Structuring a clean exit, partial sale or staged exit for family and founder-owned businesses, balancing value, control and timing.

04

Board & Governance Advisory

Independent perspective for private and ASX-listed boards and audit and risk committees, drawn from active non-executive experience across both.

THE MODEL

One point of accountability. A network built for the mandate.

Every engagement is led personally, and draws on relationships built over three decades: origination and co-investment partners, legal counsel, tax and structuring specialists, corporate finance peers and industry experts, both domestic and international.

The result is the responsiveness of a boutique adviser with access to the depth a larger firm would offer, assembled around what the transaction needs rather than who happens to be on staff.

PRINCIPAL

Josh May

Josh May is the founder and principal of Celero Capital. He qualified as a Chartered Accountant in 1997 after training at Grant Thornton, then spent four years in corporate finance at Crowe in London from 1998, where his advisory work included early private equity transactions, well before the industry matured into what it is in Australia today, before joining Ernst & Young's Sydney corporate finance practice in 2001.

In 2005 he co-founded Oaktower Partnership, a boutique M&A advisory business, where he spent twelve years advising on transactions across industrial, services and resources sectors. In 2017 he joined a private and pre-IPO funds management business as Portfolio Manager, before drawing on that same entrepreneurial approach to establish Celero Capital in 2021.

Alongside his advisory work, Josh holds and has held non-executive director and audit and risk committee roles across ASX-listed and private companies, and currently sits on the Advisory Board of Travel is Living Group.

Outside work, Josh lives on the Northern Beaches of Sydney with his wife and three kids, and loves early morning swims.
